These Terms of Service ("Terms") constitute a legal agreement between you (either as an individual or on behalf of an entity) and Priya IO Systems, a limited liability software company ("we," "us," or "our"). By accessing our website, using Integra Local, clicking "I Agree," or deploying Integra Cloud, you agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease all use of our products and services.

2. Services Offered

2.1 Integra Local (Free WebAssembly Viewer)

We provide a free, browser-based AL3 file viewer that runs entirely on your device using WebAssembly technology. This service is provided "as-is" for integration testing and validation purposes.

2.2 Integra Cloud (AWS Marketplace Container)

We distribute containerized parsing software through AWS Marketplace that you deploy in your own AWS account. Billing is managed through AWS based on vCPU-hour usage according to the pricing published on AWS Marketplace.

2.3 Developer Documentation

We provide technical documentation, API references, and integration guides for both products at no charge.

3. License Grant

3.1 Integra Local

We grant you a non-exclusive, non-transferable, revocable license to use Integra Local for lawful business purposes. You may not:

• Reverse engineer, decompile, or disassemble the software
• Remove or modify any proprietary notices
• Use the service to violate any applicable laws or regulations
• Redistribute or resell the service

3.2 Integra Cloud

Usage rights for Integra Cloud are governed by the AWS Marketplace End User License Agreement (EULA) and the specific product terms published on AWS Marketplace. By subscribing through AWS Marketplace, you agree to those terms in addition to these Terms of Service.

4. User Responsibilities

You are responsible for:

• Maintaining the security of your AWS account and infrastructure
• Ensuring your use complies with all applicable laws and regulations
• Configuring appropriate IAM roles, network security, and access controls
• Backing up your data and maintaining disaster recovery procedures
• Monitoring your AWS usage and associated costs
• Ensuring you have the right to process any data using our services

5. Pricing and Payment

5.1 Integra Local

Integra Local is provided free of charge. We reserve the right to introduce paid features or change the pricing model with 30 days' notice.

5.2 Integra Cloud

Pricing for Integra Cloud is published on AWS Marketplace and billed through AWS based on actual vCPU-hour usage. All payments are processed by AWS, and billing disputes should be directed to AWS Support. We do not process payments directly.

5.3 Refunds

Refunds for Integra Cloud subscriptions are subject to AWS Marketplace policies. Please refer to AWS Marketplace terms for refund eligibility.

6. Intellectual Property

All intellectual property rights in our software, documentation, website content, trademarks, and logos remain the exclusive property of Priya IO Systems. You may not use our trademarks or branding without prior written consent.

The "Integra" name, logo, and associated branding are trademarks of Priya IO Systems.

7. Data Ownership and Privacy

You retain complete ownership of your data. Our architecture ensures:

• All AL3 files and processed data remain within your infrastructure
• We do not access, collect, or store your business data
• You control all security, access, and retention policies
• We have no visibility into your data processing activities

8. Service Availability and Support

8.1 Availability

Integra Local is provided through our website and relies on your browser capabilities. Integra Cloud availability depends on your AWS infrastructure and configuration.

8.2 Support

We provide:

• Public documentation and integration guides
• Community support through our website contact form
• Enterprise support packages (available separately upon request)

We do not guarantee specific response times for free tier support.

9. Warranties and Disclaimers

9.1 Limited Warranty

We warrant that our software will substantially perform as described in our documentation when used as intended.

9.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS-IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• Our services will be uninterrupted or error-free
• All bugs or defects will be corrected
• The services will meet your specific requirements
• Results obtained will be accurate or reliable

10. Limitation of Liability and Customer Responsibility

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIYA IO SYSTEMS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or data loss
• Costs of procurement of substitute services
• Security breaches resulting from your infrastructure misconfigurations
• Business Decisions: Any financial losses, compliance failures, or business interruptions arising from your reliance on the outputs or processed data provided by the software.

10.1 Data Integrity and Verification

You acknowledge that the software is a tool provided for your convenience. You are solely responsible for:

• Maintaining independent backups of all input data (AL3 files) and outputs
• Verifying the accuracy and completeness of any parsed data before using it for business, legal, or compliance purposes
• All business decisions made based on the results obtained from our services

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM INTEGRA CLOUD SHALL NOT EXCEED THE AMOUNT YOU PAID TO AWS FOR OUR SOFTWARE IN THE THREE MONTHS PRECEDING THE CLAIM.

FOR INTEGRA LOCAL (FREE SERVICE), OUR LIABILITY SHALL NOT EXCEED $100 USD.

11. Indemnification

You agree to indemnify and hold harmless Priya IO Systems from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Your data processing activities

12. Compliance and Export Controls

You agree to comply with all applicable laws and regulations, including:

• Data protection regulations (GDPR, CCPA, HIPAA, etc.)
• Export control laws and regulations
• Anti-money laundering regulations
• Industry-specific compliance requirements

Our software may not be exported or re-exported to countries subject to U.S. trade embargoes or sanctions.

13. Termination

13.1 By You

You may stop using our services at any time. For Integra Cloud, cancel your AWS Marketplace subscription according to AWS procedures.

13.2 By Us

We may suspend or terminate your access if you:

• Violate these Terms
• Engage in fraudulent or illegal activities
• Pose a security or legal risk

13.3 Effect of Termination

Upon termination, your license to use our software immediately ceases. You must remove all copies of our software from your systems.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Updating the "Last Updated" date
• Posting a notice on our website
• Sending email notification (for significant changes)

Continued use of our services after changes constitutes acceptance of the modified Terms.

15. Third-Party Services

Our services may integrate with or depend on third-party services (e.g., AWS, Docker, etc.). Your use of such services is subject to their respective terms and policies. We are not responsible for third-party service availability, performance, or terms.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any applicable AWS Marketplace terms, constitute the entire agreement between you and Priya IO Systems regarding our services.
